1. Agreement and priority
By accessing this website or a CelluTech service, you agree to these Terms of Use. If your organization has a separate agreement with CelluTech, that agreement controls to the extent of any conflict. If you use a service for an organization, you confirm that you are authorized to do so.
2. Services and accounts
CelluTech provides institutional technology platforms and related services. You must provide accurate account information, protect credentials, use only accounts you are authorized to access and promptly report suspected unauthorized use. An institution that administers your account may control access and data according to its policies.
3. Acceptable use
You may not use the services to violate law or another person’s rights; access systems or data without authorization; introduce malicious code; disrupt, test or bypass security without written permission; misrepresent identity; scrape or reverse engineer except where applicable law expressly permits; or use the services in a way that creates material security or operational risk.
4. Customer data and privacy
As between CelluTech and its customer, the customer retains its rights in data submitted to the services. The customer authorizes CelluTech to host, process, transmit and otherwise handle that data only as needed to provide and protect the services, meet the customer’s instructions and comply with law. Personal data is handled as described in our Privacy Policy and applicable customer agreements.
5. Intellectual property
CelluTech and its licensors retain all rights in the website, applications, software, designs, documentation, trademarks and related technology. Subject to an applicable agreement, users receive only a limited, revocable, non-exclusive and non-transferable right to use the service for its intended purpose. Feedback may be used to improve our services without identifying the contributor.
6. Third-party services
A service may interoperate with third-party products or contain links to external resources. Those products are governed by their own terms and privacy practices. CelluTech is not responsible for third-party products outside its control.
7. Availability and changes
We may maintain, update, improve or discontinue features, subject to applicable agreements and law. We aim to provide reliable services, but availability may be affected by maintenance, networks, customer configurations, third parties or events beyond reasonable control.
8. Disclaimers and liability
To the maximum extent permitted by law, public website content is provided “as is” and without warranties not expressly stated in a written agreement. CelluTech does not provide medical, pharmaceutical, legal, financial or other professional advice through general website content. Professional and institutional users remain responsible for their decisions and legal duties.
To the maximum extent permitted by law, CelluTech will not be liable under these terms for indirect, incidental, special, punitive or consequential loss, or loss of profits, revenue, goodwill or data. Any liability governed by a separate customer agreement is determined by that agreement. Nothing in these terms excludes liability that cannot legally be excluded.
9. Suspension and termination
Access may be suspended or terminated for a material breach, security risk, legal requirement, non-payment under an applicable agreement or discontinuation of a service. Provisions that by their nature should survive will remain in effect.
10. Governing law and contact
Unless a separate agreement states otherwise, these terms are governed by the laws of the United Arab Emirates as applicable in the Emirate of Dubai, without prejudice to mandatory legal rights. Disputes are subject to the competent courts of Dubai.
